About IPO Process in Nepal
An Initial Public Offering (IPO) is the process by which a private company offers its shares to the general public for the first time. In Nepal, the Securities Board of Nepal (SEBON) regulates all IPO activities, and CDS and Clearing Ltd. (CDSC) manages the share dematerialization and allotment process.
Nepal's IPO market has grown significantly in recent years, with companies from banking, insurance, hydropower, and microfinance sectors regularly offering shares to the public. The minimum application for any IPO is 10 units (kittas), making it accessible to small investors.
Understanding the C-ASBA Process
C-ASBA (Centralized Application Supported by Blocked Amount) is the electronic IPO application system used in Nepal. When you apply for an IPO, the application amount is blocked (not debited) in your bank account. If you are allotted shares, only then the amount is debited. If not allotted, the blocked amount is automatically released — typically within 2-3 business days after the allotment.
Key Terms for IPO Investors
- DMAT Account: Dematerialized account that holds shares electronically
- BOID: Beneficiary Owner ID — your unique DMAT account number
- Mero Share: Online portal by CDSC for IPO application and portfolio management
- C-ASBA: Centralized application system that blocks funds instead of debiting
- Kitta: Unit of shares — minimum 10 kittas per IPO application
- SEBON: Securities Board of Nepal — the market regulator
- DP: Depository Participant — entity authorized to open DMAT accounts
How IPO Allotment Works in Nepal
When a company issues an IPO in Nepal, the allotment process is managed by CDS and Clearing Ltd. (CDSC) under the supervision of the Securities Board of Nepal (SEBON). After the IPO application period closes, CDSC collects all applications submitted through MEROSHARE and C-ASBA banking channels. If the IPO is oversubscribed – meaning more shares are demanded than available – a computerized lottery system is used to randomly select successful applicants. Each applicant receives a minimum of 10 units (kittas) if selected, ensuring fair distribution among retail investors.
The allotment results are typically published within 3 to 5 business days after the IPO closes. You can check your result on MEROSHARE by logging in and navigating to the "My ASBA" section, or through your bank's internet banking portal under the C-ASBA menu. If you are allotted shares, the blocked amount in your bank account is debited, and the shares are credited to your Demat account. If you are not allotted, the blocked amount is automatically released back to your bank account within 2 to 3 business days.
Tips for IPO Investors
Before applying for an IPO, verify your eligibility by ensuring your Demat account and MEROSHARE registration are active and linked to your bank account. The C-ASBA (Centralized Application Supported by Blocked Amount) process requires sufficient balance in your bank account to cover the application amount, which will be blocked until allotment is decided. Always apply from a single Demat account per IPO – duplicate applications from the same BOID are automatically rejected.
Research the company before investing by reading the IPO prospectus, which contains details about the company's financial performance, business model, and use of IPO funds. Check the company's sector, promoter background, and financial ratios. The IPO result timeline typically follows this pattern: application period (3-7 days), processing (2-3 days), allotment and result publication (3-5 days after closing), and refund of blocked amount for unsuccessful applicants (2-3 days after allotment). Keep your contact information updated in MEROSHARE to receive notifications about IPO results and share credits.
